Seychelles Securities Dealer License (SDL)

Seychelles Securities Dealer License is a license which allows a company to trade insecurities either as a principal (on its own account) or as an agent (on behalf of its clients). The Securities Act of 2007 provides the legal basis for the provision of securities dealer services. Seychelles Financial Service Authority will be the regulatory authority.

Entity Requirements
The entity making the application must be a Seychelles Domestic company.

Director’s Requirements
At least two (2) Directors of any jurisdiction are required.

Shareholder requirements
At least two (2) shareholders and corporate shareholding is allowed.

Authorized Representative
At least individual authorized representative must be appointed. A Director can be the authorized representative if they meet the criteria.

Compliance Officer
A Compliance and Money Laundering Reporting Officer must be appointed. The officer can be from any jurisdiction but must be based in the Seychelles operations office at all times

 Seychelles Office
A place of business must be set up in Seychelles from where the operations of the company shall be run.

Auditor
An auditor must be appointed from any jurisdictions and approved by the authority in order to audit the securities dealer account annually.

Insurance
An insurance cover for professional indemnity is required and must be approved by the authority. 

The duration of the process may take about three to six months upon filing with the regulator.
